Terms of Service

By accessing or using Replyza ("the Service"), operated at replyza.io, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

Replyza provides an AI-powered chatbot platform that allows businesses to embed a chatbot widget on their website. The chatbot is trained on the customer's website content, uploaded documents, and custom Q&A pairs to answer visitor questions, capture leads, and drive conversions.

To use Replyza, you must create an account by providing your company name, email address, and website URL. You are responsible for maintaining the security of your account and all activities that occur under it.

You must provide accurate and complete information during registration. We reserve the right to suspend or terminate accounts with false or misleading information.

Replyza offers subscription plans (Starter, Growth, Scale) billed monthly or annually. By subscribing, you authorize us to charge your payment method through Stripe on a recurring basis.

• Plan Limits: Each plan includes a monthly message limit and a maximum number of scraped pages. Exceeding the message limit will pause chatbot responses until the next billing period.
• Add-ons: Optional add-ons (Brand Bundle, Extra Messages) can be added to your subscription at any time and are billed alongside your plan.
• Upgrades: You can upgrade your plan at any time. Downgrades take effect at the end of the current billing period.
• Cancellation: You may cancel your subscription at any time through the Stripe customer portal. Access continues until the end of the paid period.
• Refunds: Payments are non-refundable except where required by law. Contact us within 7 days of a charge if you believe there was an error.

You agree not to use Replyza to:

• Violate any applicable laws, regulations, or third-party rights
• Distribute malware, spam, or misleading content through the chatbot
• Impersonate another person or entity through the chatbot
• Use the chatbot to collect sensitive personal information (health data, financial account numbers, Social Security numbers) without proper authorization and safeguards
• Attempt to reverse-engineer, decompile, or exploit the Service
• Overload our infrastructure through automated abuse or denial-of-service attacks
• Scrape or crawl websites you do not own or have permission to access

You retain ownership of all content you provide to Replyza, including your website content, uploaded files, Q&A pairs, and custom instructions.

By using the Service, you grant us a limited license to process, store, and embed your content for the purpose of operating the chatbot. We will not use your content for any other purpose, including training our own AI models.

You are responsible for ensuring you have the right to use and share the content you upload or scrape through Replyza.

Chatbot responses are generated by AI and may not always be accurate. You acknowledge that:

• AI responses are based on your provided content and may contain errors or omissions
• Replyza is not liable for decisions made based on chatbot responses
• You are responsible for reviewing and monitoring your chatbot's behavior
• The chatbot should not be used as a substitute for professional advice (medical, legal, financial)

When visitors interact with your chatbot, conversation data is processed by our servers and sent to OpenAI for response generation. By using Replyza, you agree to this data flow and acknowledge your responsibility to inform your website visitors that they are interacting with an AI chatbot.

The Replyza platform, including its software, design, branding, and documentation, is owned by Replyza and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our platform without written permission.

We strive to maintain high uptime but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages. We are not liable for any loss resulting from service unavailability.

To the fullest extent permitted by law, Replyza shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold Replyza harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

We may suspend or terminate your account if you violate these Terms or engage in activity that harms the Service or other users. You may terminate your account at any time by canceling your subscription and contacting us. Upon termination, all associated data will be deleted.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Continued use of the Service after changes constitutes acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
